  • Overview

    As part of a small, passionate, and accomplished team of experts, you will help shape company strategy from a legal perspective on the most effective approach to provide launch services and engines to both commercial and government customers and manage contractual terms with suppliers. Your primary focus will be to provide legal leadership within the areas of contracting and related transactional matters for purchasing and for customer contracts, and to assist the Legal and Compliance team in developing greater operational capabilities. You’ll lead complex negotiations with a wide range of potential and current suppliers. You’ll also assist in the implementation of standardized processes and automated tools to enhance the Legal & Compliance team’s operational capabilities, including: document management database and repository; matter management tools and processes;  automating outside counsel accounting and billing; and working with your colleagues to select and implement export control and contracts administration software. Transactional opportunities could include legal guidance and negotiation support for Space Act Agreements and construction activities. Supply chain related activities include negotiating high value capital expenditures and long term purchasing contracts, intellectual property rights in cooperative development agreements, and legal support for all company procurement efforts.

    Responsibilities

    • Provide legal advice on day-to-day issues of spaceflight development for a broad range of internal clients, including business development personnel, working engineers, and procurement professionals
    • Contribute to the determination of appropriate structures and forms for a variety of transactional activities
    • Assist with customer and supply chain contract negotiations and proposal review
    • Train company personnel on legal and regulatory compliance
    • Oversee the negotiation and administration of complex construction projects and related capital equipment acquisition.
    • Assist as the Legal Department establishes a framework for growth using standardization, automation and use of software tools including:
      • Document management database and repository;
      • Automating and standardizing matter management;
      • Automating outside counsel accounting and billing;
      • The selection of an outside vendor for export control and contracts administration software and implementation of such software

    Qualifications

    • Juris Doctor degree.
    • 4+ years’ experience in a major law firm or corporate legal department with a focus on transactional matters
    • Experience negotiating with customers and/or suppliers
    • Experience with UCC and Incoterms
    • Experience with contractual dispute resolution
    • Excellent analytical skills and English-language communication skills, both written and spoken
    • Must be a U.S. citizen or national, U.S. permanent resident (current Green Card holder), or lawfully admitted into the U.S. as a refugee or granted asylum.

    Desired

    • 8+ years legal experience, including the aerospace industry
    • Experience with flowdowns related to both traditional federal government contracts and non-traditional federal government agreements
    • Experience with State and local incentives
    • Experience with real estate and construction contracts
    • Experience with satellite payload contracting
    • Experience in implementing operational improvements within a Legal department or firm.
    • Academic degree and/or work experience in engineering, physics, or other ‘hard sciences’ technical field
